This Agreement is between Cognia ehf (kt. 670421-0900, “Sóley”) and the operator who accepts it during onboarding (“Operator”). In plain terms: you stay in control of your business and your customer relationship, you are the merchant of record, Sóley is only the intermediary, and you keep about 90% of every booking.
Sóley operates an online marketplace that lists your services and connects you with travellers. Your listing content, descriptions, prices, availability, photos, is yours, published on your instruction.
Sóley is not the seller, organiser or provider of the travel service and is not a party to the contract between you and the traveller. Sóley does not assemble packages.
Sóley never holds traveller funds. The traveller pays you directly through your own payment processor.
You set your own prices and availability, confirm or decline each booking, deliver the service, and handle your own refunds and cancellations under your own published policy.
You warrant on a continuing basis that you: hold and maintain all licences, registrations and permits required for your services (and tell us at once if any lapses); describe your services and prices accurately and comply with consumer-protection law toward travellers; are VSK-registered where required and issue compliant VSK receipts to travellers; comply with data-protection law for traveller data; hold adequate liability insurance; and deliver your services safely and with reasonable skill and care.
Sóley's commission is 10% of the gross booking value on confirmed bookings, exclusive of VSK; 24% VSK (or the prevailing rate) is added. Sóley invoices monthly; you pay within 14 days.
VSK on the travel service itself (typically 11% for accommodation and tours) is your responsibility as merchant of record. If you are VSK-registered you can generally reclaim the input VSK on Sóley's commission.
As between you and Sóley, you are solely responsible and liable for the delivery, quality, safety, description, pricing, cancellation and refunding of your services, and for all acts and omissions in performing them.
You indemnify and hold Sóley harmless against all claims, losses, fines, penalties and reasonable costs (including legal fees) arising from: your services or their non-performance; your breach of this Agreement or your warranties; your non-compliance with licensing, tax, consumer-protection, safety or data-protection law; any traveller or third-party claim relating to your service; and your listing content.
This does not exclude any liability that cannot be excluded under Icelandic law, including for death or personal injury caused by negligence, or for gross negligence or wilful misconduct, and you are not required to cover losses to the extent caused by Sóley's own gross negligence or wilful misconduct.
To the maximum extent permitted by law, and subject to the carve-out in section 4, Sóley is not liable to you for the travel service or for indirect or consequential loss, and Sóley's total liability to you in any 12-month period is capped at the total commission you paid Sóley in that period.
The marketplace is provided “as is”; Sóley does not guarantee uninterrupted availability or a given volume of bookings.
Both parties comply with Icelandic data-protection law (lög nr. 90/2018 / GDPR). Traveller data Sóley passes to you is for fulfilling the booking and meeting your legal obligations only, not for unrelated marketing without your own lawful basis. You indemnify Sóley for your data-protection breaches.
Either side may end this Agreement on 30 days' notice, for any reason. Sóley may suspend or delist you immediately if you lose a required licence, breach consumer or safety law, repeatedly fail to deliver confirmed bookings or answer refund requests, or become insolvent.
This Agreement is governed by Icelandic law, and the parties submit to the exclusive jurisdiction of the District Court of Reykjavík. This applies between you and Sóley and does not affect a traveller's mandatory consumer rights.
